Drafting Minutes of Board, Committee and General Meetings as required under Companies Act and Secretarial Standards involving issuance of notices, drafting of agenda, Board Notes, etc.
Preparing and filing necessary documents, returns, forms with MCA/RD /ROC as required under Companies Act and filing and maintaining Statutory returns/records as per the requirement of various laws.
Preparation, vetting, reviewing and negotiating commercial and legal agreements & advising on the basis of true and correct interpretation of statutory provisions and judicial precedents.
Ensuring compliance with all Statutory and Regulatory requirements.
Preparation and sending of Notices, Agenda of Board Meetings, General Meetings in accordance with Companies Act 2013 and Secretarial Standard issued by ICSI.
Preparation and Maintenance of Minutes of Board and General Meetings, Statutory Registers under Companies Act, 2013.
Preparation of Board and Annual Report of the Company.
Amendment of MOA & AOA for Change of name / Objects clause of the Company.
Increase in Authorised Capital and issue of shares to Non-Resident Shareholders.
Appointment and Resignation of Directors of Non-Resident Directors.
Annual and other Filings including XBRL Filings with ROC.
Preparation and Filings of MSME-I, DPT-3, DIR-3 KYC of Directors with Ministry of Corporate affairs.
Other functions as required under the Companies Act, 2013.
Post-Merger Compliances in accordance with the scheme of Arrangement in the areas of Accounting, Taxation, Secretarial, Banking and Labour laws.
Complying with the FEMA and its Regulations with regard to allotment of shares to the foreign collaborator, foreign remittance etc, Annual Return on Liabilities and Asset (FLA), FIRMS Application, Form FCGPR with RBI.
Compliance for External Commercial Borrowing (ECB), Application and Coordinating with Bankers and RBI.
Compliances under Micro, Small and Medium Enterprises Act, 2006 (MSME ACT).
Correspondences & Co-ordination with Banks for Banking Operation, Issuance of Bank Guarantees, Compliance under PMLA, FEMA etc.
Compliance under the Companies Act, 2013 including Maintenance of all Statutory Records and Registers, filing various forms and returns as required.
Registration and compliances under Goods and Services Tax Act, (GST) 2017.
Registration of Company with DGFT (IEC), Assisted in application under SEIS and MEIS Scheme under Foreign Trade Policy (FTP) 2015-20.
Assisted in Finalisation of financial statements i.e. Balance Sheet, Profit & Loss Account, Cash Flow Statement.
Coordinating with Internal and External Auditors for conducting Audits and implementing necessary recommendations.
Assisting in Audit, Filing Income Tax returns as per Transfer Pricing provisions of Income Tax Act, 1961 and Compliances of Internal Taxation.
Monitor and ensure Compliances under Income Tax Act, 1961, Goods and Service Tax Act, 2017 and other applicable laws.
Replying to Show-cause notices received under FEMA & Companies Act etc.
