Handle compliances of provisions of Companies Act, 2013 and rules made thereunder.

Conduct Board Meetings, Committee Meetings, Annual General Meeting and Extra-Ordinary General Meetings. Preparation and circulation of Agenda papers and coordination with Directors and other stakeholders, preparation of Minutes for various meetings and preparation of other statutory records, documents for Inter Corporate Loans, keeping track on related party transactions.

Draft, Execute and vet of various EPC Agreements, Non Disclosure Agreements, MOUs, Corporate Guarantees, Advance and Performance Bank Guarantees, Power of Attorneys, Indemnities, No Claim letters, various financing agreements etc.

Negotiate with Clients, Vendors/Sub contractors, counter party lawyers for various Agreements and advising other departments for contract related matters.

Coordinate and control the entire risk assessment process of the Company as required under Companies Act, 2013 and keeping track on all the applicable compliances for the Company through compliance tracking tool.

Handle various Legal and Secretarial Due Diligence.

Filings of various e-forms under Companies Act

Handled Compliances with IEX and PXIL for various provisions of the listing agreement

Liaison with Bank for availing Bill Discounting facility by the Company, opening of account, sending of bills, invoices, Goods Receipt copy and other documents for discounting

Documentation of PAN & Service Tax registration.

Periodical submission of Service Tax, Income Tax, Preparation and filing of Income Tax Returns and Service Tax Returns.

Directors/KMP appointment, re-appointment, rotation and remuneration
Audit and Auditors related compliances, appointment and rotation
Maintaining statutory records & Minute Book
E-filings with Ministry of corporate affairs (XBRL)
Corporate policies and compliances, legal risk management
Pursuing claims with Government Departments/PSUs
Alteration of memorandum and articles of association of the company

Secretarial Audit for the purpose of Compliance certificate

Maintaining statutory registers
