A Leading Private Limited company is a leading share registrar, with it’s headquarter located in Kolkata requires a Qualified Company Secretary with 7- 10 years work experience with a BSE listed company. The manpower strength is of almost 150. In keeping with its expansion plans, this company recently opened an office in Hyderabad. Today, it is one of the largest data processing houses in eastern India, a leading name in custom software solutions and a Registrar and Share Transfer Agent par excellence.
Company secretary will have high level of responsibilities including governance structures and mechanisms,
corporate conduct within the organisation's regulatory environment,
board, shareholder and trustee meetings,
compliance with legal, regulatory and listing requirements, the training and induction of non-executives and trustees,
contact with regulatory and external bodies,
reports and circulars to shareholders/trustees, management of employee benefits such as pensions and employee share schemes,
insurance administration and organisation,
the negotiation of contracts,
property administration and organisation and the interpretation of financial accounts.
He would be heading the organisation and would report to the MD.
He should have some experience in handling a Buy Back, Open Offer etc.
He should also be aware of Delisting Regulations.
He must have interacted with the RTA of his organisation. He must be aware of the workings of a RTA.
He would be independent in taking decisions while at the same time he should be able to tackle staff related issues.
